2. Our total liability for any claim will not exceed the amount paid by you (if any) in the preceding 6 months.

 

11. Indemnification

You agree to defend, indemnify, and hold harmless Isya.ai, its team, partners, and affiliates from any claims, damages, or losses arising from:

12. Termination

 

You may delete your account at any time through your account settings. We also reserve the right to suspend or terminate your access to the platform at our sole discretion, particularly if we believe you have violated these Terms, engaged in fraudulent or abusive activity, or posed a risk to other users or the platform.

 

Upon termination:

1. Your access to the platform and its services will be immediately revoked.

2. Any outstanding or unpaid fees will remain due and payable.

3. Please note that any fees already paid are non-refundable, regardless of whether your account was voluntarily deleted or terminated by us due to a breach of these Terms.

 

13. Governing Law & Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law principles.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof:
 

1. Good-Faith Negotiations:
   The parties shall first attempt to resolve the matter amicably through good-faith discussions and negotiations within 30 days from the date either party provides written notice of the dispute.

2. Arbitration:
   If the dispute cannot be resolved through negotiations, the matter shall be referred to and finally resolved by arbitration in Kuala Lumpur, Malaysia, in accordance with the Asian International Arbitration Centre (AIAC) Arbitration Rules currently in force at the time of the dispute.

3. The following conditions shall apply:

   • The arbitration tribunal shall consist of a sole arbitrator appointed in accordance with the AIAC Rules.

   • The arbitration shall be conducted in the English language.

   • The award of the arbitrator shall be final and binding on both parties and may be enforced in any court of competent jurisdiction

4. Injunctive or Equitable Relief:

   • Notwithstanding the foregoing, either party reserves the right to seek interim, injunctive, or equitable relief in the courts of Malaysia where necessary to protect its rights or prevent irreparable harm.

   • Jurisdiction for Non-Arbitrable Matters: In the event a dispute is deemed non-arbitrable or where arbitration is not applicable, the parties irrevocably submit to the exclusive jurisdiction of the courts of Malaysia.

We may update these Terms occasionally. If we make significant changes, we’ll notify you via email or through the platform. Your continued use of the Services after such updates constitutes acceptance.
